October 14, 2025If you own a business in Pennsylvania, there are a few new reporting requirements you need to keep on your radar this year. Both Pennsylvania and the federal government have rolled out changes that affect how and when businesses must file important information.
One of the most immediate deadlines is coming up fast: Pennsylvania LLCs must file their new annual report by tomorrow, September 30. Here’s what you need to know:
What’s Changed?
Starting this year, most PA businesses must file an annual report with the Department of State. This is a big shift away from the old ‘once every ten years’ filing requirement. The annual report is mainly informational – you’ll be asked to provide your business name, entity number, office addresses, and details about your managers, partners, or officers.
Each type of entity has its own deadline:
- Corporations (for-profit and nonprofit): June 30
- LLCs (domestic and foreign): September 30
- Other entities (LPs, LLPs, business trusts, professional associations, etc.): December 31
For LLCs, that means September 30 is the date to circle on your calendar.
Are There Any Federal Requirements to Keep in Mind?
On top of PA’s requirements, some businesses also need to pay attention to the federal Beneficial Ownership Information (BOI) rules under the Corporate Transparency Act. While the most recent update limits BOI filing to foreign reporting companies, it’s important to know whether your business fits that category. If it does, you’ll need to file once with FinCEN and keep your report updated within 30 days of any changes.

Although PA has built in a two-year grace period before penalties kick in, it’s still smart to build these filings into your yearly compliance routine now. Missing deadlines later could mean administrative dissolution, termination of your business registration, or losing your business name protection
